EthereumMax and Kim Kardashian: The Disclosure Lesson Every Creator Should Know

The SEC's EthereumMax action shows why paid promotion disclosure and legal review belong in every celebrity token launch checklist.

Not every important celebrity-token failure is a rug-pull story. EthereumMax is a disclosure story.

In October 2022, the U.S. Securities and Exchange Commission charged Kim Kardashian for promoting EMAX on Instagram without disclosing the amount she had been paid. The SEC said she received $250,000 for the promotion. Kardashian agreed to pay $1.26 million in penalties, disgorgement, and interest and to cooperate with the SEC’s investigation.

The lesson is bigger than a hashtag

A creator can write “#ad” and still face questions about whether compensation was disclosed properly under applicable law. The exact regulatory analysis depends on the asset, jurisdiction, facts, and current law.

Build a promotion registry

Before launch, create a private and public record of:

  • every paid promoter;
  • form and amount of compensation where legally required;
  • token allocations given for promotion;
  • affiliate or referral economics;
  • whether promoters can sell during launch windows;
  • approved risk language;
  • prohibited claims about price or returns.

Separate culture from investment solicitation

A community token can celebrate a creator’s culture without telling fans to expect profit. Avoid guaranteed-return language, target prices, “risk-free” framing, and artificial urgency.

The SEC’s 2025 staff statement said meme coins are typically purchased for entertainment, social interaction, and cultural purposes and are often highly speculative. The staff also emphasized that fraudulent conduct can still be prosecuted under other laws. The statement is staff guidance, not a blanket exemption or guarantee for every token.
